Terms of service

These terms are the agreement between you and Elfasys Solution about your use of Excel AI Studio (“the service”). By creating an account or using the service you accept them. If you do not accept them, please do not use the service.

1. Who we are

The service is operated by Elfasys Solution, Tower 21, Faidabad Dokkhin Khan, Uttara, Dhaka, Bangladesh, referred to as “we” or “us”. See the legal notice. How we handle personal data is described in the privacy policy.

2. The beta service

• The service is in beta. Features can change, break or be removed.
• It is free for now. Each account has daily limits on assistant messages and AI usage, and there are limits on file size and storage. If we introduce paid plans, we will announce the prices before they apply to you, and you will not be charged without agreeing to them.
• We do not promise a level of availability, speed or support. There is no service level agreement during the beta.
• The service is provided “as is” and “as available”. Please keep your original files and your own copies of anything important.

3. Eligibility and your account

• You must be at least 16 years old and able to enter into a binding agreement. If you use the service for an organisation, you confirm that you are allowed to accept these terms for it.
• Give accurate information when you register and keep it up to date.
• Keep your password and API keys secret. You are responsible for what happens under your account. If you suspect misuse, change your password and tell us.

4. Your content

• You own your content. The files you upload, the data in them, and what you export are yours. We claim no ownership.
• What we may do with it. You give us a limited permission to store, process, display and transmit your content, only to provide the service to you. That includes sending extracts of it to our AI provider when you use an AI feature, as described in the privacy policy. We do not use your content for advertising or to train AI models.
• Your responsibility. You promise that you have the right to upload your content and to have it processed this way, including any rights needed for personal data of other people in your sheets. Please do not upload data you are not allowed to share with a service provider.
• Removing it. You can delete a workbook at any time. Deleting is permanent.

5. Acceptable use

You agree not to:

• use the service for anything unlawful, or upload content that you have no right to use or that breaks the rights of others;
• upload malware, or files made to harm the service or its users;
• try to get around daily limits, storage limits or other technical limits, for example with several accounts or automated sign-ups;
• probe, scan or test the security of the service without our written permission, or try to access data that is not yours;
• overload the service, or use it in a way that harms other users;
• reverse engineer the service to build a competing product, or to get around its protections. This does not limit rights you have by law that cannot be waived;
• use the AI features to produce content that is unlawful or harmful, or try to make the assistant ignore its instructions or reveal information it should not;
• resell or provide the service to others as your own.

If you find a security problem, we would be glad if you told us at admin@elfasyssolution.com before telling anyone else.

6. AI features and their output

• The assistant is built on a language model. It can misunderstand your sheet, make mistakes, and sound sure while wrong.
• It proposes. You decide. A change is applied only when you click Apply, and you can undo it. Always check the preview.
• You are responsible for the results you apply, save, share or export, and for any decision you base on them. Do not rely on the output alone for decisions that matter, such as safety, legal, medical or financial ones.
• Because of how language models work, the same request may give different answers at different times.

7. Sharing with others

If you share a workbook or create a share link, the people you share it with can see or edit it as you set. You are responsible for who you share with. Revoke access when it is no longer needed. Anyone who has a share link can use it, so treat it like a password.

8. Changes, suspension and ending

• By you. You can stop using the service at any time. To close your account and have your data deleted, email us.
• By us. We may change or stop the service, or any feature of it. We may suspend or close accounts that break these terms, put the service or other users at risk, or where the law requires it. Where it is reasonable, we will tell you first and give you time to export your data.
• What remains. Sections that by their nature should continue (such as content rights, disclaimers, liability and governing law) continue after the agreement ends.

9. Our rights in the service

The service, its software, design and text belong to us or our licensors. These terms do not give you any right to them except the right to use the service as described here. If you send us feedback or ideas, we may use them without obligation to you.

10. Disclaimer

To the extent the law allows, we give no warranties about the service, including that it will be uninterrupted, error free, secure, or suitable for your purpose, or that data will never be lost. Nothing in these terms takes away rights that you have under mandatory consumer law.

11. Limitation of liability

• Nothing in these terms limits liability that cannot be limited by law, including liability for death or personal injury, for intent or gross negligence, for fraud, or under mandatory product liability or data protection law.
• Subject to that, we are not liable for loss of data, profit, revenue or business, or for indirect or consequential loss, arising from your use of the free beta service.
• Subject to the first point, our total liability to you for all claims arising out of the service is limited to the greater of the amount you paid us in the 12 months before the claim and EUR 100.
• You are responsible for keeping backups of your own files.

12. Indemnity

If a third party makes a claim against us because you uploaded content you had no right to use, or because you broke these terms, you agree to cover our reasonable costs and losses from that claim, to the extent allowed by law. We will tell you about the claim promptly and work with you on it.

14. Changes to these terms

We may update these terms, for example when the service changes or when we introduce prices. The date at the top shows the latest version. If a change matters to you materially, we will tell you in the app or by email before it takes effect. If you keep using the service after that, you accept the new terms; if you do not agree, you can stop and ask us to delete your account.
